These terms of service (hereinafter “the Terms of Service”) define the terms of use both for the services provided by Capital & Inovation , Inc. (hereinafter “the Company”) through Japan Integrated Resort Business Connect (https://ir-bizconnect.com/en/) (hereinafter “the Website”) and for any services originating from the Website (collectively hereinafter “the Services”).
Both Visiting Members and Exhibiting Members (collectively hereinafter “Members”) are required to follow the Terms of Service when using the Services.
Article １：Scope of application
The Terms of Service are applicable to all matters pertaining to the use of the Services between Members and the Company.
Article ２：Member registration
A party who wishes to register as a member (hereinafter “Registration Applicant”) is required to apply for registration according to the methods specified by the Company; registration is completed when the Company approves the application.
If the Company deems that any of the reasons listed below apply to the Registration Applicant, the Company may refuse to approve the application; moreover, the Company has no obligation to disclose the reasons for refusing to approve the application.
１）If the Registration Applicant submits false information when applying for registration
２）If the Registration Applicant has in the past violated the Terms of Service
３）If the Registration Applicant is a minor, an adult ward, or a person under conservatorship, and has not elicited the approval of their legal representative, guardian, or conservator
４）If the Registration Applicant is deemed by the Company to be a member of an antisocial force, etc. (including but not limited to organized crime groups, far-right groups, and other antisocial forces); or if the Registration Applicant is deemed through the provision of funds or other means to cooperate with or contribute to the maintenance, operation, or management of antisocial forces, etc., or to otherwise interact with or contribute to antisocial forces, etc.
５）If for any other reason the Company deems the Registration Applicant to be unsuitable for registration
Article ３：Management of member IDs and passwords
Members are responsible for the proper management of their member ID and password for the Services.
Members are prohibited from transferring or lending their member ID or password to a third party, for any reason. If a registered member ID and password are used to log in and use the Services, the Company will deem this use of the Services as carried out by the Member to whom the member ID and password are registered.
Article ４：Fees and payment methods
Members are required to pay all fees specified under “TOP > Business Matching Board > User Guide” （ https://ir-bizconnect.com/en/business-matching-board/user-guide/ ）according to methods specified by the Company.
Article ５：Prohibited matters
Members are prohibited from carrying out the following acts when using the Services：
１）Acts that violate laws or infringe on public standards of decency
２）Acts that are illegal in nature
３）Acts that damage or adversely affect the functions of the Company’s servers or networks
４）Acts that adversely affect the Company’s operation of the Services
５）Acts that collect or store personal information, etc. related to other Members
６）Acts that impersonate other Members
７）Acts that contribute directly or indirectly to the profit of antisocial forces, etc.
８）Acts that adversely affect the intellectual property rights, portrait rights, privacy, honor or credibility, or other rights or profits of the Company, or other users of the Services
９）Acts and expressions that are excessively violent; acts and expressions that are clearly sexual in nature; acts and expressions that discriminate based on race, nationality, religion, gender, social status, family lineage, etc.; acts and expressions that promote or encourage suicide, self-harm, or drug abuse; as well as other acts and expressions that may be offensive others, including acts and expressions that are antisocial in nature
１０）Acts that seek to profit from sales, publicity, advertisements, solicitations, etc. that are not approved by the Company; acts that are sexual or obscene in nature; acts whose purpose is to interact with or meet unacquainted members of a different sex; acts whose purpose is to slander or harass other customers ; acts aimed at using the Services for purposes other than their original purposes
１１）Acts that are religious in nature, or that solicit for religious groups
１２）Any other acts that the Company deems inappropriate
Article ６：Interruptions and suspensions of the Services
The Company is able to suspend or stop all or part of the Services without notifying Members in advance, for any of the reasons outlined below.
１）When carrying out maintenance or updates to computer systems related to the Services
２）When force majeure—including but not limited to earthquakes, lightning, fires, power outages, and natural disasters—prevent provision of the Services
３）When computers, communication lines, etc. are rendered non-operational by accidents
４）When for any other reason the Company deems provision of the Services to be difficult
The Company will not be liable for any loss or damage caused to Members or to third parties as a result of suspending or stopping the Services.
Article ７：Copyright and other rights
The copyrights and other intellectual property rights of the Services and all information related to the Services belong to the Company or to the rights holders who have granted the use of these rights to the Company; Members are prohibited from reproducing, transferring, lending, translating, modifying, reprinting, publicly transmitting or enabling transmission, transmitting electronically, distributing, publishing, or using for sales purposes either the Services or any information related to the Services without permission.
Article ８：Deregistration, usage restrictions, etc.
The Company is able to restrict Members from using of all or part of the Services and to deregister Members without notifying Members in advance for the reasons outlined below.
１）If the Member violates any of the provisions of the Terms of Service
２）If the Member is found to have submitted false information when applying for registration
３）If the Member applies for bankruptcy, civil rehabilitation, corporate reorganization, special liquidation, or similar proceedings
４）If the Member does not use the Services for one year or more
５）If the Member does not respond to inquiries from the Company or to other inquiries requesting answers for 30 days or more
６）If the Member has violated the Terms of Service in the past, as specified in Article 2, item 2
７）If for any other reason the Company deems it inappropriate for the Member to use the Services
If any of the items １）－７）above apply, the Member will naturally lose the benefit of repayment deadlines for debts owed to the Company, and will be required to pay all debts immediately.
The Company is not responsible for any damage incurred by the Member as a result of the actions carried out by the Company based on this article.
Article ９：Warranty disclaimer and other disclaimers
The Company neither explicitly nor implicitly warrants that there are no faults in the Services, either in practice or in legality. This includes, but is not limited to, safety, reliability, accuracy, completeness, effectiveness, suitability for specified goals, security defects and other defects, errors and bugs, and rights violations.
The Company is not responsible for any damage incurred to Members resulting from the Services. However, if the contract (including the Terms of Service) between the Company and Members is found to be a “consumer contract” as specified by the Consumer Contract Act, then these disclaimers shall not apply.
Article １０：Changes, etc. to the content of the Services
The Company is able to change the content of the Services or terminate the Services, without notifying Members in advance. The Company shall not be responsible for any damage incurred by Members as a result of such actions.
Article １１：Changes to the Terms of Service
The Company is able to change the Terms of Service at any time, without notifying Members in advance, if it deems such changes to be necessary.
Article １２：Contact and notifications
Contact and notifications between the Company and Members shall take place via a method specified by the Company.
Article １３：Prohibition on assignment of rights and obligations
Members are prohibited from assigning, setting collateral, or otherwise disposing of their status in the Terms of Use or their rights or obligations based on the Services to a third party, without the prior written approval from the Company.
Article １４：Governing Law and Court of Jurisdiction
The Governing Law of the Terms of Service is Japanese Law.
Any dispute arising out of or in connection with the Services is subject to the exclusive jurisdiction of the court that has jurisdiction over the location of the Company’s head office.

この利用規約（以下「本規約」といいます）は、キャピタル＆イノベーション株式会社（以下「当社」といいます）が、「Japan Integrated Resort Business Connect（ https://ir-bizconnect.com/en/ ）」（以下「本サイト」といいます）で提供するサービスおよび本サイトが起因するサービス（以下「本サービス」といいます）の利用条件を定めものです。
会員（来場者会員、出展者会員を含む）の皆さま（以下「会員」といいます）には、本規約に従って本サービスをご利用いただきます。
第1条（適用）
本規約は、会員と当社との間の本サービスの利用に関わる一切の関係に適用されるものとします。
第2条（会員登録）
会員登録希望者は、当社が定める方法によって会員登録を申請し、当社がこれを承認することによって、会員登録が完了するものとします。
当社は、会員登録の申請者に以下の事由があると判断した場合、会員登録の申請を承認しないことがあり、その理由については一切の開示義務を負わないものとします。
（１）会員登録の申請に際して虚偽の事項を届け出た場合
（２）本規約に違反したことがある者からの申請である場合
（３）未成年者、成年被後見人、被保佐人または被補助人のいずれかであり、法定代理人、後見人、保佐人または補助人の同意等を得ていなかった場合
（４）反社会的勢力等（暴力団、暴力団員、右翼団体、反社会的勢力、その他これに準ずる者を意味します。）である、または資金提供その他を通じて反社会的勢力等の維持、運営もしくは経営に協力もしくは関与する等反社会的勢力との何らかの交流もしくは関与を行っていると当社が判断した場合
（５）その他、当社が利用登録を相当でないと判断した場合
第3条（会員IDおよびパスワードの管理）
会員は、自己の責任において、本サービスの会員IDおよびパスワードを管理するものとします。
会員は、いかなる場合にも、会員IDおよびパスワードを第三者に譲渡または貸与することはできません。当社は、会員IDとパスワードの組み合わせが登録情報と一致してログインされた場合には、その会員IDを登録している会員自身による利用とみなします。
第4条（Business Matching Board使用における契約）
会員は、当社との間で「TOP > Business Matching Board > User Guide」（ https://ir-bizconnect.com/en/business-matching-board/user-guide/ ）が定める契約を締結するものとします。
第5条（禁止事項）
会員は、本サービスの利用にあたり、以下の行為をしてはなりません。
（１）法令または公序良俗に違反する行為
（２）犯罪行為に関連する行為
（３）当社のサーバーまたはネットワークの機能を破壊したり、妨害したりする行為
（４）当社のサービスの運営を妨害するおそれのある行為
（５）他の会員に関する個人情報等を収集または蓄積する行為
（６）他の会員に成りすます行為
（７）当社のサービスに関連して、反社会的勢力に対して直接または間接に利益を供与する行為
（８）当社、本サービスの他の利用者または第三者の知的財産権、肖像権、プライバシー、名誉その他の権利または利益を侵害する行為
（９）過度に暴力的な表現、露骨な性的表現、人種、国籍、信条、性別、社会的身分、門地等による差別につながる表現、自殺、自傷行為、薬物乱用を誘引または助長する表現、その他反社会的な内容を含み他人に不快感を与える表現を、投稿または送信する行為
（１０）当社が認めない営業、宣伝、広告、勧誘、その他営利を目的とする行為、性行為やわいせつな行為を目的とする行為、面識のない異性との出会いや交際を目的とする行為、他のお客様に対する嫌がらせや誹謗中傷を目的とする行為、その他本サービスが予定している利用目的と異なる目的で本サービスを利用する行為
（１１）宗教活動または宗教団体への勧誘行為
（１２）その他、当社が不適切と判断する行為
第6条（本サービスの提供の停止等）
当社は、以下のいずれかの事由があると判断した場合、会員に事前に通知することなく本サービスの全部または一部の提供を停止または中断することができるものとします。
（１）本サービスにかかるコンピュータシステムの保守点検または更新を行う場合
（２）地震、落雷、火災、停電または天災などの不可抗力により、本サービスの提供が困難となった場合
（３）コンピュータまたは通信回線等が事故により停止した場合
（４）その他、当社が本サービスの提供が困難と判断した場合
当社は、本サービスの提供の停止または中断により、会員または第三者が被ったいかなる不利益または損害について、理由を問わず一切の責任を負わないものとします。
第7条（著作権）
本サービスおよび本サービスに関連する一切の情報についての著作権およびその他知的財産権はすべて当社または当社にその利用を許諾した権利者に帰属し、会員は無断で複製、譲渡、貸与、翻訳、改変、転載、公衆送信（送信可能化を含みます）、伝送、配布、出版、営業使用等をしてはならないものとします。
第8条（利用制限および登録抹消）
当社は、以下の場合には、事前の通知なく、会員に対して本サービスの全部もしくは一部の利用を制限しまたは会員としての登録を抹消することができるものとします。
（１）本規約のいずれかの条項に違反した場合
（２）登録事項に虚偽の事実があることが判明した場合
（３）破産、民事再生、会社更生または特別清算の手続開始決定等の申立がなされたとき
（４）1年間以上本サービスの利用がない場合
（５）当社からの問い合わせその他の回答を求める連絡に対して30日間以上応答がない場合
（６）第2条第2項各号に該当する場合
（７）その他、当社が本サービスの利用を適当でないと判断した場合
前項各号のいずれかに該当した場合、会員は、当然に当社に対する一切の債務について期限の利益を失い、その時点において負担する一切の債務を直ちに一括して弁済しなければなりません。
当社は、本条に基づき当社が行った行為により会員に生じた損害について、一切の責任を負いません。
第9条（保証の否認および免責事項）
当社は、本サービスに事実上または法律上の瑕疵（安全性、信頼性、正確性、完全性、有効性、特定の目的への適合性、セキュリティなどに関する欠陥、エラーやバグ、権利侵害などを含みます）がないことを明示的にも黙示的にも保証しておりません。
当社は、本サービスに起因して会員に生じたあらゆる損害について一切の責任を負いません。ただし、本サービスに関する当社と会員との間の契約（本規約を含みます）が消費者契約法に定める消費者契約となる場合、この免責規定は適用されません。
第10条（サービス内容の変更等）
当社は、会員に通知することなく、本サービスの内容を変更しまたは本サービスの提供を中止することができるものとし、これによって会員に生じた損害について一切の責任を負いません。
第11条（利用規約の変更）
当社は、必要と判断した場合には、会員に通知することなくいつでも本規約を変更することができるものとします。
第12条（通知または連絡）
会員と当社との間の通知または連絡は、当社の定める方法によって行うものとします。
第13条（権利義務の譲渡の禁止）
会員は、当社の書面による事前の承諾なく、利用契約上の地位または本規約に基づく権利もしくは義務を第三者に譲渡し、または担保に供することはできません。
第14条（準拠法・裁判管轄）
本規約の解釈にあたっては、日本法を準拠法とします。
本サービスに関して紛争が生じた場合には、当社の本店所在地を管轄する裁判所を専属的合意管轄とします。
